general terms and conditions

1. Scope of application

A. The following General Terms and Conditions apply to all deliveries and services (hereinafter referred to in overall terms as “services”) provided by Acros North America Inc. (hereinafter referred to as “Acros North America Inc.” or “Acros North America”). 

B. Any order for a product appearing on the Acros North America online store is subject to the terms and conditions contained herein. 

C. Placing an order through the Acros North America online store represents acceptance and consent to these terms and conditions, and the consumer fully accepts that their agreement on the content of these conditions does not require the signature of this document, insofar as the customer wishes to order the products presented online in the framework of the website. The consumer has the option to save or print these general conditions, with the saving and printing of this document being the sole responsibility of the consumer. Further, the consumer represents hereby that they have legal capacity to accept these General Terms & Conditions and complete the sale contemplated hereby. 

D. The Acros North America merchant site is the sole property of Acros North America Inc. E. Acros North America reserves the right to modify the present general terms & conditions of sale.

2. Conclusion of the contract

A. Your purchase agreement is concluded with: Acros North America Inc. 25 Mauchly, Ste. 322, Irvine, CA 92618, United States of America 

B. All sales of Acros products within the United States are made by Acros North America Inc. 

C. The product representations in our online shop do not constitute a legally binding offer. Such product representations are of a non-binding nature. In placing an online order you are making a binding offer of purchase. The nature of the products is solely determined by the product specifications contained within the online catalogue. These product specifications may vary from the photographs included in the catalogue. Acros North America In. will confirm receipt of placement of order by e-mail without delay. Said a confirmation of placement of order does not constitute acceptance of your offer. The sole purpose of such a confirmation of placement of order is to enable you to check your order. The contract shall not be concluded until confirmation of order is sent by e-mail or until goods are dispatched. 

D. Supplementary agreements, side agreements, amendments, agreements regarding the nature of goods and the acceptance of guarantees shall not be effective unless expressly confirmed in writing by Acros North America Inc..

3. Prices, Taxes, Shipping

A. All prices are stated in U.S. Dollars (USD) and do not include applicable sales tax, customs duties, or shipping costs unless expressly stated. Taxes and shipping costs will be calculated at check-out, where applicable, and costs of shipping. Information on shipping costs is provided in the summary of costs of shipping. You will be liable for additional costs incurred; We will indicate such additional costs to you prior to your order. Please contact us on service-us@acros-components.com for information in this regard. 

B. Insofar as nothing to the contrary has expressly been agreed, Acros North America Inc. shall determine the appropriate means of shipping and the forwarding company at our own fair and just discretion. 

C. Commercial sales shall be subject to the Uniform Commercial Code, as well as the provisions of that uniform code, as adopted by the state of California. All such commercial purchases shall be considered fulfilled at our branch office in San Clemente, California, and risk of loss shall transfer to the purchaser there. Shipping may be requested and available; however, risk of loss shall transfer FOB seller. 

D. Following delivery, you are required to inspect goods for possible damage during transport and to notify us of any such damage without delay. Such a requirement and any breach of such a requirement shall be without prejudice to your warranty rights. The sole purpose of such a requirement is to secure our claims against the forwarding company 

E. Pricing can change at any time, and is up to the responsibility of the buyer to make sure of any changes before purchase. 

F. There are no guaranteed delivery times. Delivery times can be impacted by many factors, and Acros North America Inc. has no control over what happens to a shipment once it has left our offices. 

G. When shipping outside the USA, Duties and Taxes may occur and be inflicted on your shipment from Acros North America Inc.It is in no way Acros North America Inc. responsibility to pay any such duties that may arise. It is the responsible of the customer to pay for such Taxes and Duties in order to accept delivery of the shipment. In no way is this a reason to deny receipt of the delivery and return the shipment. Please research your countries import taxes, duties and laws prior to ordering anything from Acros North America outside the USA. For international shipments, the customer is solely responsible for all import duties, taxes, customs clearance fees, and compliance with local import regulations. Unless otherwise agreed, delivery is made under Incoterms® 2020 DAP (Delivered at Place).

4. Availability

A. In the event that, following conclusion of contract, Acros North America discovers the non-availability of a product indicated in the online shop as available, Acros North America may withdraw from the contract if such lack of availability is not the responsibility of Acros North America. In such a case, Acros North America will notify you without delay and will reimburse any prepayments which may have been made. 

B. Acros North America shall be entitled to make partial deliveries at its own expense as long as such partial deliveries are reasonable for you.

5. Payment

A. These Payment Terms and Conditions (the "Terms") govern the payment methods available for purchases made on the Acros North America USA site. By using the payment methods available on the Site, you agree to these Terms. 


1. Accepted Payment Methods We accept the following payment methods on the Site: • Visa • MasterCard • American Express (AMEX) • Diners Club • Discover • Apple Pay 


2. Credit/Debit Card Payments (Visa, MasterCard, AMEX, Diners Club, Discover) • Authorization: When you use a credit or debit card (Visa, MasterCard, American Express, Diners Club or Discover), you are authorizing us to charge the specified amount to your card. You confirm that you are the authorized cardholder or have permission from the cardholder to use the card. • Security: To prevent fraud, we may require additional verification before processing your payment. Your card details are encrypted and protected through Secure Socket Layer (SSL) technology. • Declined Transactions: If your payment is declined, we will not be able to complete your purchase. You must resolve any issues with your card provider or use an alternate payment method. • Billing Information: You are responsible for ensuring the billing information you provide is accurate and up to date. 

3. Apple Pay • Payment Authorization: If you select Apple Pay as your payment method, the payment is authorized through Apple Pay using the payment card stored in your Apple Wallet. Authorization is completed via Apple’s authentication mechanisms (such as Face ID, Touch ID, or device passcode). Payment information is transmitted using industry-standard encryption and tokenization. The merchant does not receive or store your full card details. • Security and Data Transmission: Apple Pay uses device-specific security features and a unique transaction code (token) for each payment. Apple does not share your actual card number with the merchant, and card numbers are not stored on Apple servers or on your device. • Settlement and Billing: The transaction amount will be charged to the payment method linked to Apple Pay in accordance with the terms and conditions of the card issuer and the applicable card network rules (e.g., Visa, Mastercard, American Express). • Disputes and Chargebacks: Any disputes, chargebacks, or payment reversals must be handled in accordance with the policies of the applicable card issuer and card network. Apple Pay does not provide a separate dispute resolution process. Customers should contact the merchant first regarding any billing or transaction issues. 

5. General Payment Conditions • Currency: All payments are processed in USD. • Order Confirmation: Orders will only be confirmed and processed once payment is successfully received. If any issues arise during payment, we will notify you promptly. • Refunds: Refunds, where applicable, will be processed to the original payment method used during checkout. Processing times may vary depending on your payment provider. • Fraud Prevention: We reserve the right to cancel or refuse any transaction that we suspect may be fraudulent, or if we are unable to verify your payment information. 

6. Disputes and Chargebacks • Chargebacks: If you initiate a chargeback, you must provide legitimate reasons in accordance with your payment provider’s terms. Abuse of chargebacks or fraudulent claims may result in the suspension of your account or legal action. • Resolution: For any disputes related to transactions made on the Site, please contact our customer service team before initiating any chargeback to resolve the matter directly. 

7. Modification of Payment Methods We reserve the right to modify, add, or remove payment methods at any time. Changes to accepted payment methods will be reflected on the Site.

8. Limitation of Liability We are not liable for any loss or damage incurred as a result of payment issues, including but not limited to payment declines, unauthorized transactions, or delays in processing payments. 

9. Changes to These Terms We may update these Terms from time to time. Any changes will be effective immediately upon posting on the Site. Your continued use of the Site after any modifications indicates your acceptance of the updated Terms. B. Payments made on delivery are available only where the product is purchased directly from Acros North America USA Inc. at their offices. C. You shall only be entitled to set off claims if your counterclaims are undisputed or established in law. D. Right of retention may only be asserted in respect of claims arising from the same contractual relationship.


6. Retention of title

A. Goods shall remain the property of Acros North America until such time as full payment is made. No goods may be pledged, offered as collateral, processed or altered prior to transfer of ownership without the written approval of Acros North America.

7. Disclaimer of Warranty

A. EXCEPT AS SPECIFIED IN SECTION 9 “LIMITED WARRANTY”, SELLER MAKES NO WARRANTY WHATSOEVER WITH RESPECT TO THE GOODS. ALL EXPRESS OR IMPLIED CONDITIONS, REPRESENTATIONS, AND WARRANTIES INCLUDING, WITHOUT LIMITATION, ANY IMPLIED WARRANTY OR CONDITION OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, SATISFACTORY QUALITY, NON-INTERFERENCE, ACCURACY OF INFORMATIONAL CONTENT, OR ARISING FROM A COURSE OF DEALING, LAW, USAGE, OR TRADE PRACTICE, ARE HEREBY EXCLUDED TO THE EXTENT ALLOWED BY APPLICABLE LAW AND ARE EXPRESSLY DISCLAIMED BY ACROS NORTH AMERICA USA INC., ITS SUPPLIERS AND LICENSORS. TO THE EXTENT AN IMPLIED WARRANTY CANNOT BE EXCLUDED, SUCH WARRANTY IS LIMITED IN DURATION TO THE EXPRESS WARRANTY PERIOD. BECAUSE SOME STATES OR JURISDICTIONS DO NOT ALLOW LIMITATIONS ON HOW LONG AN IMPLIED WARRANTY LASTS, ANY LIMITATION ON WARRANTY DURATION MAY NOT APPLY. THESE WARRANTIES GIVE CUSTOMER SPECIFIC LEGAL RIGHTS, AND CUSTOMER MAY ALSO HAVE OTHER RIGHTS WHICH VARY FROM JURISDICTION TO JURISDICTION. B. This disclaimer and exclusion shall apply even if the express warranty set forth above fails of its essential purpose.

8. Liability

A. These General Terms and Conditions do not limit the liability of Acros North America, its legal representatives and vicarious agents arising from damage to life, limb or health nor do these General Terms and Conditions limit liability arising as a result of malicious concealment of defects or acceptance of a guarantee of the nature of goods. These General Terms and Conditions further do not limit liability as a result of damages caused by intentional or grossly negligent breach of duty by Acros North America, its legal representatives or its vicarious agents. B. Insofar as liability for damages is excluded or limited pursuant to Clause 8.1 Paragraphs 2 and 3 above, such an exclusion or limitation shall also apply in respect of any liability on the part of the vicarious agents and legal representatives of Acros North America.

9. Limited Warranty

A. Warranty Period All component parts manufactured and sold by Acros North America Inc. or Acros Sport GmbH (collectively “Acros”), including but not limited to headsets, headset parts, thru-axles, bearing assemblies, bearing seats, spacers, top caps, and related small parts (the “Acros Products”), are warranted to be free from defects in materials and workmanship for a period of two (2) years from the date of original delivery to the initial purchaser. This limited warranty does not cover cosmetic damage, including but not limited to damage to surface finishes, anodizing, coatings, or laser markings. ________________________________________ 

B. Scope of Warranty This limited warranty covers only defects in materials and workmanship of Acros Products during the applicable warranty period. The warranty does not apply to parts subject to normal wear and tear, including but not limited to: • Ball bearings of all types (e.g. deep groove ball bearings, angular contact bearings, needle bearings), including seals, shields, and lubricants • Bearing races, bearing axles, bushings, and sliding bearing surfaces • Small parts subject to friction, preload, or continuous movement • Components affected by corrosion, contamination, or insufficient lubrication Wear and tear is determined at Acros’ reasonable discretion based on product design, intended use, and service life. ________________________________________ 

C. Exclusion of Complete Bicycles and Frames Acros does not manufacture or sell complete bicycles or bicycle frames. Accordingly, this limited warranty does not apply to any bicycle frames, forks, or complete bicycles into which Acros Products may be installed. ________________________________________ 

D. Third-Party Components This limited warranty applies exclusively to Acros Products. Any third-party components sold, bundled, or installed in conjunction with Acros Products are not warranted by Acros and are subject solely to the warranties, if any, provided by their respective manufacturers. Upon request, Acros North America Inc. may, at its discretion, assist the purchaser in contacting the applicable third-party manufacturer, but assumes no responsibility for third-party warranty claims. ________________________________________ 

E. Remedy At its sole discretion, Acros will remedy a valid warranty claim by: • repairing the defective Acros Product, or • replacing it with a new or refurbished product of the same or comparable type. If an identical product is no longer available, Acros reserves the right to provide a replacement of equivalent function and value, which may differ in color, finish, or design. This limited warranty does not cover reimbursement for labor, assembly, disassembly, transport, or installation costs. This warranty is provided without prejudice to any non-waivable statutory rights applicable under governing law. ________________________________________ 

F. Excluded Uses and Improper Handling This limited warranty shall be void if the Acros Product has been subjected to improper use, misuse, neglect, or unauthorized modification, including but not limited to: • Insufficient or improper maintenance, cleaning, or lubrication • Use outside of intended cycling applications (e.g. industrial, motorized, or non-bicycle use) • Installation not in accordance with Acros’ technical specifications, torque values, or installation instructions • Use with incompatible components, frames, forks, or tools • Modification, engraving, re-machining, refinishing, or structural alteration of the product • Continued use despite evident damage, malfunction, contamination, or excessive play ________________________________________ 

G. Excessive Stress and Damage This limited warranty does not apply to damage caused by excessive or abnormal mechanical stress, including but not limited to impacts, crashes, improper press-fit installation, misalignment, or overload. Damage resulting from such stress shall be deemed improper use and excluded from warranty coverage. ________________________________________ 

H. Original Purchaser Requirement This limited warranty applies only to the original retail purchaser of the Acros Product and is non-transferable. A valid proof of purchase is required for all warranty claims. Any attempted assignment or transfer of this warranty shall be null and void. ________________________________________ 

I. Covered Products This limited warranty applies only to Acros Products purchased from Acros North America Inc., Acros Sport GmbH, or an authorized Acros dealer. Products not manufactured by Acros or purchased outside the authorized distribution channel are not covered by this limited warranty. ________________________________________ 

J. Shipping and Service Costs The purchaser is responsible for all labor costs associated with non-warranty service. Shipping and transportation costs related to warranty or non-warranty service shall be borne by the purchaser unless Acros expressly agrees otherwise in writing, including by issuance of a prepaid shipping label. K. THIS SECTION 9 REPRESENTS THE FULL AND COMPLETE STATEMENT OF LIMITED WARRANTY PROVIDED BY ACROS NORTH AMERICA INC. AND ACROS SPORT GMBH FOR ITS PRODUCTS. NO EXTENDED WARRANTY IS OFFERED OR PERMITTED AND ANY SUCH EXTENSION OF WARRANTY IS OUTSIDE OF THE SCOPE OF REPRESENTATION OF ACROS NORTH AMERICA INC. AND ACROS SPORT GMBH. NO ACTIONS BY ANY THIRD PARTY MAY CREATE AN EXTENSION OF THIS WARRANTY. ALL OF THE REMEDIES AVAILABLE TO THE ORIGINAL OWNER ARE STATED HEREIN. PURCHASER HEREBY ACKNOWLEDGES AND UNDERSTANDS THAT ACROS NORTH AMERICA INC. AND ACROS SPORT GMBH’S LIABILITY UNDER THIS LIMITED WARRANTY SHALL BE NO GREATER THAN THE AMOUNT OF THE ORIGINAL PURCHASE PRICE AND IN NO EVENT SHALL ACROS NORTH AMERICA INC. OR ACROS SPORT GMBH BE LIABLE FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES.

10. Right of withdrawl

If the purchaser, within fourteen (14) days of placing the order, but still prior to the shipment of the product, determines they no longer wish to purchase the product, the purchaser may withdraw from the purchase contract by contacting Acros North America USA Inc. and notifying us of such withdrawal. This notification may be made via telephone or online. If product has shipped, the withdrawal period is over. However, if your bike has not been ridden, you may request to exchange your bike if you wish to buy a different model, size or color of bicycle. • Products must be returned in new condition and be free from any cosmetic or mechanical damage. Bikes must be repackaged per the instructions in the user manual and in original Acros packaging. A return must be accompanied by all tools and parts included with the original shipment. Upon arrival of returned goods to Acros North America a thorough inspection will be completed by our service staff and a refund issued accordingly. At the discretion of Acros North America adjustments to the refunded purchase amount will occur on products that show signs of wear or cosmetic damage. All sales are final on discounted bikes purchased through the bike outlet page. All returns inquiries must be written to order-us@acros-components.com.

11. General Provisions

A. Acros North America will store the text of the contract and send you the order data and General Terms and Conditions by e-mail. You may view your past orders in the customer log-in area. B. The language of the purchase agreement and these General Terms and Conditions are English. C. The purchase agreement is governed by the law of the State of California. Claims against Acros North America GmbH for defects in materials or workmanship shall be governed by the law of the Federal Republic of Germany. The UN Convention on Contracts for the International Sale of Goods shall not apply. D. Claims against Acros North America USA Inc. shall be governed by the law of the State of California, with jurisdiction and venue arising in the State of California, Orange County, City of San Clemente. For claims against Acros North America, GmbH, if you have no general place of jurisdiction in Germany or move your place of residence or usual domicile outside the scope of jurisdiction of the Federal Republic of Germany after conclusion of the contract, place of jurisdiction shall be the location of the Registered Office of Acros North America. The same shall apply in circumstances where your place of residence or usual domicile is not known at the time at which a legal action is brought. E. In the event that one of the provisions contained within the present Agreement including the present provision should be or should become invalid either in whole or in part, this shall be without prejudice to the validity of the other provisions herein contained and such unenforceable provision shall be stricken and the remainder of these General Terms and Conditions shall not be affected thereby. Such an invalid provision shall be replaced by the relevant statutory provisions to the extent possible. F. No waiver by Acros North America USA Inc. of any of the provisions of this Agreement is effective unless explicitly set forth in writing and signed by Acros North America USA Inc. No failure to exercise, or delay in exercising, any right, remedy, power or privilege arising from these General Terms and Conditions operates, or may be construed, as a waiver thereof. No single or partial exercise of any right, remedy, power or privilege hereunder precludes any other or further exercise thereof or the exercise of any other right, remedy, power or privilege. G. Acros North America USA Inc. shall not be liable or responsible to purchaser, nor be deemed to have defaulted or breached these General Terms and Conditions, for any failure or delay in fulfilling or performing when and to the extent such failure or delay is caused by or results from acts or circumstances beyond the reasonable control of Seller including, without limitation, acts of God, flood, fire, earthquake, explosion, governmental actions, war, invasion or hostilities (whether war is declared or not), terrorist threats or acts, riot, or other civil unrest, national emergency, revolution, insurrection, epidemic, lockouts, strikes or other labor disputes (whether or not relating to either party’s workforce), or restraints or delays affecting carriers or inability or delay in obtaining supplies of adequate or suitable materials, materials or telecommunication breakdown or power outage.

12. General Use Disclaimer

Cycling is a Dangerous Activity

All forms of cycling present inherent risks of injury that the rider must assume, and a bicycle cannot protect you in an accident. Always wear a helmet. Do not ride in the dark or during limited visibility without proper lights. Some countries, states or cities have specific requirements for lights and other equipment. Check before traveling with your bicycle. You must make your own decisions about your skills and the level of risk you are willing to confront. Do not ride beyond your ability or the designated limits of your bicycle. If you are not sure of the limits or condition of your bicycle, consult a local professional who can advise, or contact Acros North America USA Inc. Acros North America USA Inc. is not responsible for any damages to you or others arising from riding, transporting or other use of your bicycle. In the event that your frame breaks or malfunctions, Acros North America USA Inc. shall have no liability or obligation beyond the repair or replacement of your frame pursuant to the terms outlined in the warranty.

13. Product Use, Service Life and Inspection

A. Product Life Cycle Bicycle components are not indestructible, and every Acros component has a finite useful product life. The length of this service life depends on factors including, but not limited to, the component’s design, materials, installation, maintenance, environmental exposure, and the type, frequency, and intensity of use. The more frequently and aggressively a component is used, the more often it should be inspected and serviced. A qualified bicycle dealer or professional bicycle mechanic is the best source of advice regarding proper installation, care, and maintenance of Acros components. Users should follow all Acros installation instructions and recommended service intervals, if provided.

B. Inspection and Safety Acros North America Inc. recommends that all Acros components be inspected regularly at least annually by a qualified, independent bicycle dealer or professional mechanic, and immediately after any crash, impact, improper installation event, or exposure to abnormal loads, even if no visible damage is apparent. Crashes, overloads, improper press-fit installation, contamination, corrosion, and repeated stress cycles can cause micro-fractures, bearing damage, deformation, or other hidden defects that may lead to sudden or catastrophic failure. Warning signs of potential component failure may include, but are not limited to: • Cracks or fracture lines • Deformation or abnormal fit • Excessive play or binding • Unusual noises such as clicking, grinding, or creaking • Corrosion, contamination, or visible bearing damage However, not all damage is visible or detectable during use. Regular inspection is essential to reduce the risk of accidents, personal injury, or component failure.

C. Continued Use of Damaged Components Never ride a bicycle on which any Acros component is damaged, improperly installed, excessively worn, misadjusted, or in need of maintenance or replacement. A single defective or improperly functioning component can place additional stress on surrounding parts and may result in progressive damage or sudden failure. Continued use under such conditions significantly increases the risk of accident, serious injury, or property damage.
